Welcome to ZillyPlanet.

These Terms of Service ("Terms") govern access to and use of ZillyPlanet's websites, applications, educational platform, learning experiences, digital content, and related services (collectively, the "Service").

ZillyPlanet, Inc. ("ZillyPlanet," "we," "us," or "our") provides personalized learning experiences designed primarily for students in grades 2–8, along with tools and services for parents, guardians, educators, schools, school districts, and other educational organizations.

Because children use ZillyPlanet, these Terms distinguish between adults who can legally agree to contracts and children who use the Service with appropriate authorization.
Please read these Terms together with our Privacy Policy and Children's Privacy Notice.

1. Who May Use ZillyPlanet

ZillyPlanet is designed for children, parents and guardians, educators, and educational organizations.

Parents and Guardians
A parent or legal guardian may create or manage an account for their child and authorize the child's use of ZillyPlanet.
By creating an account for a child, you confirm that:

• You are the child's parent or legal guardian, or otherwise have legal authority to act for the child.

• You are authorized to provide any consent required for the child's use of the Service.

• The information you provide is accurate.

• You agree to these Terms on your own behalf and, where legally permitted, on behalf of the child.

 

Children Under 13
Children under 13 may use ZillyPlanet only when their use has been authorized through an appropriate parent, guardian, school, school district, teacher acting with appropriate authority, or other educational institution.
When ZillyPlanet is provided through a school or educational organization, the school may authorize collection and use of a student's information where permitted by applicable law and only for the school-authorized educational purpose.

Students Ages 13 to 17
Students under the age of legal majority may use ZillyPlanet with authorization from a parent, guardian, school, or educational organization, as applicable.
A child is not expected to independently enter into a binding contract with ZillyPlanet.

Adults
Adults who create parent, educator, administrator, purchaser, or other accounts must be legally capable of entering into these Terms.

2. School and Educational Organization Use

Schools, school districts, charter schools, private schools, educational organizations, teachers, tutors, and similar organizations may provide students with access to ZillyPlanet.

An educational organization that creates accounts or provides student information to ZillyPlanet represents that it has the authority required to do so under applicable law and its own policies.

For school-managed accounts, ZillyPlanet uses Student Data to provide, maintain, secure, support, and improve the educational services authorized by the school, subject to applicable law and the applicable agreement with the educational organization.

ZillyPlanet does not sell Student Data or use Student Data for targeted advertising.

Where a separate agreement, Student Data Privacy Agreement, Data Processing Agreement, National Data Privacy Agreement, purchase agreement, or other written contract exists between ZillyPlanet and an educational organization, that agreement will control if it conflicts with these Terms.

Schools remain responsible for determining whether ZillyPlanet is appropriate for their educational use and for obtaining any notices, permissions, or consents required from parents or guardians.

3. Student Data

"Student Data" means personal information, education records, learning activity, or other information associated with a student that ZillyPlanet receives through a school-managed account or on behalf of an educational organization.

ZillyPlanet will use Student Data only for authorized educational and operational purposes, such as:

• Providing learning activities.

• Personalizing the student's educational experience.

• Tracking learning progress and mastery.

• Providing feedback, hints, and instructional support.

• Providing teachers, administrators, and authorized users with appropriate progress information.

• Supporting, maintaining, and securing the Service.

• Troubleshooting technical problems.

• Meeting legal, security, and contractual obligations.

 

Student Data is not owned by ZillyPlanet.
Rights concerning school-controlled Student Data remain with the student, parent, school, or educational organization as provided by applicable law and contract.
Additional information about our data practices is provided in our Privacy Policy, Children's Privacy Notice, and applicable school privacy agreements.

4. Accounts

Certain parts of ZillyPlanet require an account.

Account types may include:

• Parent or guardian accounts.

• Student accounts.

• Teacher or educator accounts.

• School administrator accounts.

• District administrator accounts.

• Other authorized organizational accounts.

 

Adults responsible for an account must provide accurate information and keep their login credentials secure.

Users must not:

• Share account credentials with unauthorized people.

• Access another person's account without permission.

• Attempt to obtain access to administrative functionality they are not authorized to use.

• Circumvent security or access restrictions.

• Create fraudulent accounts or impersonate another person.

Schools may manage, suspend, transfer, or remove school-managed accounts according to their agreement with ZillyPlanet.

5. Children's Privacy

Protecting children's privacy is central to how ZillyPlanet operates.

Our Children's Privacy Notice explains what information may be collected from children, why it is collected, how it is used, when it may be disclosed, how long it may be retained, and what rights parents, guardians, and schools may have.

For children under 13 using ZillyPlanet outside a school-managed environment, ZillyPlanet will obtain verifiable parental consent when required by the Children's Online Privacy Protection Act ("COPPA").

When a school authorizes a child's use of ZillyPlanet in an educational setting and is legally permitted to provide consent on behalf of the parent, information collected under that authorization will be used for the school-authorized educational purpose and not for unrelated commercial purposes.

6. Artificial Intelligence and Personalized Learning

ZillyPlanet uses artificial intelligence and other automated technologies to support features such as personalization, learning assistance, question generation, instructional feedback, adaptation, content creation, and educational experiences.

AI-supported features are designed to support learning, not replace teachers, parents, educational professionals, or human judgment.

AI systems can make mistakes. They may occasionally produce content that is incomplete, inaccurate, or inappropriate for a particular learning situation.

ZillyPlanet works to test, monitor, and improve its educational systems, but users should not treat AI-generated content as an infallible source.

Students should not enter sensitive personal information into open-response areas, AI interactions, or other input fields unless the Service requests that information for an authorized purpose.

Information about how data may be processed through AI-supported features is provided in our Privacy Policy and AI Data Use and Transparency information.
For school-managed accounts, Student Data will not be used for targeted advertising or sold to third parties.

Any use of Student Data involving third-party technology providers remains subject to ZillyPlanet's privacy obligations, applicable contracts, and applicable law.

7. Educational Purpose

ZillyPlanet is an educational support platform.

The Service is intended to help students learn, practice skills, explore strategies, develop confidence, and build understanding.

ZillyPlanet does not guarantee:

• A particular grade or test score.

• Mastery of a particular academic standard.

• Admission to a school or program.

• Improvement within a particular period.

• A particular academic, career, or employment outcome.

 

Student progress information reflects activity within ZillyPlanet and should be considered together with other information available to parents and educators.

ZillyPlanet is not intended to replace professional educational evaluations, special education assessments, diagnostic assessments, individualized education programs, or decisions that legally require qualified educational professionals.

8. Acceptable Use

Users may use ZillyPlanet only for lawful educational, personal, administrative, and organizational purposes consistent with the Service.

Users may not:

• Attempt to gain unauthorized access to ZillyPlanet systems or accounts.

• Interfere with the operation or security of the Service.

• Introduce malware, viruses, automated attacks, or harmful code.

• Scrape, crawl, extract, or systematically copy the Service without authorization.

• Reverse engineer the Service except where applicable law expressly permits it.

• Use ZillyPlanet to harass, threaten, exploit, or harm another person.

• Upload unlawful, harmful, or infringing material.

• Attempt to identify another student from information that has been de-identified.

• Use another person's account without permission.

• Misrepresent identity or authorization.

• Use ZillyPlanet in a way that violates applicable law.

• Use automated systems to generate excessive traffic or interfere with other users.

• Attempt to bypass student safety, content, security, or access controls.

 

We may restrict or suspend access when reasonably necessary to protect students, other users, ZillyPlanet, or the security and integrity of the Service.

9. Student Communications and Public Sharing

ZillyPlanet is not designed as a public social network.

Student learning activity is not intended to create publicly visible student profiles or public social-media-style feeds.

ZillyPlanet may provide communication, response, classroom, collaboration, or AI-supported learning features where appropriate. Access to information through those features will be limited according to the feature, account permissions, school configuration, and applicable privacy requirements.

Students should not use any input feature to share unnecessary personal information about themselves or other people.

10. User-Provided Content

Users may provide information to ZillyPlanet through learning responses, feedback, uploaded materials, custom settings, support requests, or other Service features ("User Content").

You retain any rights you have in your User Content.

You grant ZillyPlanet a limited right to host, process, reproduce, and use User Content only as reasonably necessary to:

• Operate the Service.

• Provide the requested learning or account functionality.

• Maintain and secure the Service.

• Provide technical support.

• Comply with applicable law.

• Perform other uses disclosed in our Privacy Policy or authorized by the user or educational organization.

 

This permission does not transfer ownership of User Content to ZillyPlanet.

Different rules may apply to Student Data provided through school-managed accounts, as described in Section 3 and applicable school agreements.

11. Intellectual Property

ZillyPlanet and its licensors own the Service and its original materials, including its software, characters, artwork, animations, stories, videos, learning experiences, designs, trademarks, logos, interfaces, written materials, and other proprietary content.

These materials are protected by intellectual property laws.

Subject to these Terms, ZillyPlanet grants authorized users a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended educational or personal purpose.

Schools and educators may use authorized educational materials within the scope of their subscription, pilot, license, or written agreement.

Users may not reproduce, sell, distribute, publicly republish, modify, or commercially exploit ZillyPlanet content outside the rights expressly provided by ZillyPlanet.

12. Feedback

We welcome ideas and feedback about ZillyPlanet.

If you voluntarily provide suggestions, ideas, comments, or feedback about the Service, you permit ZillyPlanet to use that feedback without compensation or obligation to you.

This provision does not give ZillyPlanet ownership of Student Data, confidential school information, or personal information.

13. Subscriptions and Paid Services

Some ZillyPlanet services may require a paid subscription or license.

Prices, billing frequency, included features, renewal terms, trial periods, and cancellation terms will be displayed when you purchase the Service.
Only an adult legally authorized to make a purchase may purchase a subscription.

If a subscription automatically renews, ZillyPlanet will disclose the renewal terms before purchase and provide a method for cancellation as required by applicable law.
You authorize ZillyPlanet or its payment provider to charge the payment method selected for amounts associated with your purchase.

Taxes may be charged where required.

A school or educational organization purchasing ZillyPlanet may be subject to separate pricing, invoicing, purchase-order, licensing, renewal, and cancellation terms contained in its agreement with ZillyPlanet.

14. Free Trials and Pilots

ZillyPlanet may offer free trials, beta access, educator pilots, school pilots, promotional access, or other limited programs.

We may establish eligibility requirements, duration limits, feature restrictions, student limits, or other conditions for these programs.

School pilots involving Student Data remain subject to applicable privacy and security obligations regardless of whether the pilot is free or paid.

Participation in a pilot does not obligate a school or organization to purchase ZillyPlanet after the pilot ends unless a written agreement states otherwise.

15. Store Purchases

ZillyPlanet may offer merchandise or physical products through its website or an affiliated store.

Only an adult may place an order.

Product prices, shipping terms, taxes, availability, return rules, and other purchase information will be presented through the store or applicable store policies.
Payment information may be processed by third-party payment providers.

ZillyPlanet does not require children to provide payment information to participate in the educational Service.

16. Third-Party Services

ZillyPlanet may rely on third-party providers to operate parts of the Service, including hosting, authentication, payment processing, analytics, communications, security, artificial intelligence, and other technical infrastructure.

Our privacy documentation provides information about how personal information is handled in connection with these providers.

The Service may contain links to external websites or resources. ZillyPlanet does not control external services that are not operated on our behalf, and those services may have their own terms and privacy practices.

A link does not mean that ZillyPlanet endorses every aspect of an external service.

17. School Integrations

ZillyPlanet may integrate with school systems and services such as single sign-on, student information systems, learning management systems, rostering services, identity providers, or other educational technologies.

An educational organization is responsible for authorizing an integration and determining which information it provides to ZillyPlanet.

ZillyPlanet will use information received through a school integration according to the school's authorization, applicable agreements, our privacy documentation, and applicable law.

18. Privacy and Security

ZillyPlanet maintains administrative, technical, and organizational safeguards designed to protect information processed through the Service.
No online service can guarantee absolute security.

Users and organizations share responsibility for protecting account credentials, devices, authentication methods, and authorized access.

Schools should notify ZillyPlanet when accounts should be changed, transferred, or deactivated where those actions are not automated through an integration.

Additional security information may be made available to educational organizations as part of ZillyPlanet's school security and privacy review process.

19. Availability and Changes to the Service

We may update ZillyPlanet over time by changing features, learning content, characters, educational approaches, integrations, interfaces, or technical systems.
Features described as beta, experimental, pilot, preview, or in development may change or be discontinued.

We may temporarily suspend portions of the Service for maintenance, security, updates, technical issues, or circumstances outside our reasonable control.
For school customers, service availability commitments contained in a separate written agreement will control over this section.

20. Suspension and Termination

We may suspend or terminate an account when reasonably necessary if:

• These Terms are materially violated.

• The account is being used unlawfully.

• The account presents a security risk.

• Unauthorized access is suspected.

• Continued access could create a risk to a child or another person.

• Payment for a paid Service remains unpaid.

• An educational organization requests termination of a school-managed account.

• We are required to do so by law.

 

Where reasonable and appropriate, we will provide notice before terminating an adult user's paid account.

Parents may request closure of family accounts.

Schools may request deletion, return, or transfer of Student Data according to their agreement with ZillyPlanet and applicable law.

Termination does not automatically permit ZillyPlanet to retain Student Data indefinitely. Retention and deletion are governed by our Privacy Policy, Children's Privacy Notice, applicable school agreements, and applicable law.

21. Copyright Complaints

ZillyPlanet respects intellectual property rights.

Your notice should identify the copyrighted work, the material you believe is infringing, its location within the Service, your contact information, and a statement that you have a good-faith belief that the use is unauthorized.

We may request further information required under applicable copyright law.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis.

We work to provide accurate, reliable, safe, and educationally appropriate experiences, but we cannot guarantee that:

• The Service will always operate without interruption.

• Every educational item or AI-generated response will be error-free.

• Every feature will work on every device or configuration.

• Every learning recommendation will be appropriate for every student.

• Use of the Service will produce a particular educational result.

 

Nothing in these Terms limits consumer, student, privacy, accessibility, or other legal rights that cannot legally be waived.

Separate warranties or service commitments contained in a written school or enterprise agreement will control where applicable.

23. Limitation of Liability

To the maximum extent permitted by applicable law, ZillyPlanet and its affiliates, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of or inability to use the Service.

For claims not governed by a separate written agreement, ZillyPlanet's aggregate liability arising from the Service will not exceed the greater of:

1. The amount you paid ZillyPlanet for the Service during the 12 months immediately preceding the event giving rise to the claim; or

2. US $100.

 

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

School, district, enterprise, or other negotiated agreements may contain different liability provisions, in which case those provisions will control.

24. Indemnification by Adult Users

To the extent permitted by law, an adult user agrees to defend and indemnify ZillyPlanet from third-party claims resulting from the adult user's unlawful use of the Service, intentional violation of these Terms, or infringement of another person's rights.

This section does not impose indemnification obligations on children.

A school's indemnification obligations, if any, will be governed only by the school's applicable written agreement and applicable law.

25. Changes to These Terms

We may update these Terms as ZillyPlanet, applicable law, or our services change.

The "Last Updated" date at the top of these Terms will identify the latest version.

For material changes affecting registered users, we will provide reasonable notice through methods such as email, account notification, or a notice within the Service when appropriate.

Changes affecting school customers may be governed by the amendment requirements in their separate agreements.

Continued use of the Service after updated Terms become effective constitutes acceptance by an adult user where permitted by law.

A child's continued use does not replace parental, school, or other consent required by applicable law.

26. Governing Law

Except where applicable law provides otherwise, these Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles.
Mandatory consumer, child privacy, education privacy, or other protections provided by the jurisdiction in which a user resides remain applicable where they cannot legally be waived.

School and educational organization agreements may identify a different governing law.

Nothing in this section prevents a person from contacting a regulator, government agency, privacy authority, school official, or other body where they have a legal right to do so.

28. Severability
If any portion of these Terms is found invalid or unenforceable, the remaining portions will continue to apply to the fullest extent permitted by law.
29. No Waiver
If ZillyPlanet does not immediately enforce a provision of these Terms, that does not waive our right to enforce that provision later.
 
30. Entire Agreement

For individual and family users, these Terms, together with the Privacy Policy, Children's Privacy Notice, applicable purchase terms, and any additional terms presented for a particular Service, form the agreement governing use of ZillyPlanet.

For educational organizations, the applicable school agreement, purchase agreement, Data Privacy Agreement, and related contractual documents may supplement or replace portions of these Terms.

If a negotiated school agreement conflicts with these Terms, the negotiated agreement controls for that educational organization's use of the Service.
